DEALS WE LIKE:  Blackstone Group has agreed a deal to acquire Ulterra Drilling Technologies, a manufacturer of drill bits and downhole tools for the oil and gas industry, for around $700 million, two sources familiar with the matter said.


** European Union antitrust regulators will rule by Nov. 27 whether to clear U.S. battery maker Energizer Holdings’ $2-billion bid for Spectrum Brands’ battery and portable lighting business.

** American Railcar Industries Inc, majority-owned by billionaire investor Carl Icahn, is selling itself to ITE Rail Fund in a $1.75 billion deal including debt, the company said.

** The head of Telefonica Deutschland called for EU regulators to block Vodafone’s planned acquisition of Liberty Global, saying it would lead to a “quasi-monopolisation” of the German cable TV market.

DEAL OF THE DAY:  Norwegian Energy Company (Noreco) plans to acquire offshore assets on Britain’s continental shelf in 2019, following its purchase of Shell’s upstream oil and gas licenses in Denmark, its chairman told Reuters.


** Novartis AG will acquire U.S.-based cancer drugmaker Endocyte Inc for $2.1 billion in cash as the Swiss drugmaker expands its radiopharmaceuticals business, the companies said.

** Private equity giant Blackstone Group has quite a takeover battle for Australian office-block owner Investa Office Fund after it was gazumped by Canadian landlord Oxford Properties Group’s A$3.35 billion ($2.4 billion) bid.


** Linde said it had no knowledge of its planned merger with Praxair being given the green light, denying a media report which said the deal had passed anti-trust hurdles in the United States.

** Acadia Healthcare Co Inc, a U.S. operator of behavioral health centers, is in talks with private equity firms about selling itself after attracting buyout interest, people familiar with the matter told Reuters.

** Italian construction company Salini Impregilo is looking at the assets of troubled builder Astaldi but any eventual deal must happen soon, a source close to the company said.

• The Riverside Company acquired Safety First Contracting, a Canada-based provider of traffic management solutions for utilities, utility contractors and telecommunication companies, as an add-on for its Area Wide Protective platform. Financial terms weren’t disclosed.

• Eckhart, a portfolio company of LFM Capital, acquired Logic Plus, a Reed City, Mich.-based electrical controls and automation company. Financial terms weren’t disclosed.

• Harvey Building Products, a portfolio company of Dunes Point Capital, acquired Thermo-Tech Windows & Doors, a Sauk Rapids, Minn.-based maker of new and replacement windows and doors. Financial terms weren’t disclosed.

• GrayMatter, a portfolio company of Hamilton Robinson Capital Partners, acquired Technical Marketing Manufacturing, Inca Denver, Colo.-based supplier of electrical control equipment and software.

• Entertainment Studios acquired the Weather Group, parent company of the Weather Channel television network and Local Now streaming service. The sellers were Blackstone, Bain Capital and Comcast/NBC Universal. Financial terms weren’t disclosed.

  • Warburg Pincus acquired a stake in Cyrena McLean, Va.-based internet security-as-a-service provider, for about $19.6 million (IN know Warburg Pincus);
  •  Advent International and Bain Capital are among bidders looking to invest in BS Payone GmbH, a Germany-based payments company, according to The Wall Street Journal. (IN knows Advent and Bain);
  • Quidd, a New York City-based digital goods startup, raised $13 million in Series A funding. Sequoia Capital led the round. (IN know Sequoia);
  • NeuVector, a Milpitas, Calif.-based container firewall company, raised $7 million in Series A funding. Hummer Winblad Venture Partners led the round. (IN know Winbal);
  • Equalum, a Silicon Valley and Tel Aviv-based provider of an enterprise data beaming platform, raised $5 million in Series A funding. Investors include Innovation Endeavors and GE Ventures. (IN know GE);
  • MyMusicTaste, a South Korea-based fan-initiated concert making platform for music artists, raised $11 million in Series C funding, according to TechCrunch. KTB Network led the round, and was joined by investors. Including Stonebridge and Yellow Dog. Softbank Ventures Korea, Samsung Venture Investment Corporation, Formation 8, Bokwang Investment and Golden Gate Ventures also participated.  (IN know Softbank);

Jitterbit, an Alameda, Calif.-based API transformation company,  raised $25 million in Series C funding. KKR led the round. (IN knows KKR)

CargoX, a Brazil-based technology company that offers trucking services for corporations, raised $20 million in Series C funding. Goldman Sachs led the round, and was joined by investors including George Soros, Qualcomm Ventures, Agility Logistics, Valor Capital Group and Oscar Salazar. (IN knows Qualcomm Ventures)

Optibus, an Israel-based provider of real-time operations and planning for city-wide mass transportation, raised $12 million in Series A funding. Pitango led the round, and was joined by investors including Verizon Ventures and Sir Ronald Cohen. (IN knows Verizon Ventures)

Madison Dearborn Partners agreed to acquire a majority stake in AmTrust Financial Services’ U.S-based fee businesses. The enterprise value of the deal is $1.15 billion. At the closing, AmTrust, a multinational insurance holding company, will receive gross cash proceeds of about $950 million and retain a 49% stake in the business. • Abraaj Group has acquired a “significant minority stake” in Capa de Ozono, a Mexican fashion footwear company. No financial terms were

• CVC Capital Partners has acquired Logen Group, a South Korean parcel delivery business, from Baring Private Equity Asia. No financial terms were disclosed, but local media reports suggest around a $300 million purchase price. Losing bidders included Affinity Equity Partners and The Carlyle Group. Read more.

• Equistone Partners Europe has acquired a majority stake in D3T Distribution, a French online retailer of motorcycle accessories and clothing, from Inspirational Stores. No financial terms were disclosed, except that D3T generated around €38 million in revenue during its most recent fiscal

• Permira is among the five bidders for the share registry business of Hong Kong-based Bank of East Asia, which is under pressure from activist investor Elliott Management, according to Reuters. The deal could be valued at around $800 million. Read more.

• Vista Equity Partners has agreed to acquire GovDelivery, a St. Paul, Min.-based digital communication platform for government, for $153
